Please read these Terms of Service ("Terms") carefully before using nexusagentapi.com (the "Site") or purchasing any product from Nexus Agent LLC ("Nexus Agent," "we," "us," or "our"). By accessing the Site or completing a purchase, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Who We Are

This Site is operated by Nexus Agent LLC, a limited liability company registered in the State of Colorado, USA, with a registered address at 6674 S Penrose Ct, Centennial, CO 80121. Throughout these Terms, "we," "us," and "our" refer to Nexus Agent LLC.

The company builds and sells pre-built, self-contained API endpoint source code and developer tooling for AI agents and automated request handling, delivered as instant digital downloads. Physical goods are not sold, and the company does not provide financial, investment, medical, or professional advisory services through the code offered.

2. Eligibility & Accounts

To purchase from this Site, you must be able to form a legally binding contract under applicable law. By placing an order, you represent that you meet this requirement and that all information you provide is accurate, current, and complete.

Account holders are responsible for maintaining the confidentiality of their login credentials and for all activity occurring under their account, including any download links issued. Users should notify support@nexusagentapi.com immediately if they suspect unauthorized account access.

3. Our Products & Licensing

Each product listed on the Site is a downloadable source-code package (handler code plus configuration/documentation) for a specific API endpoint or developer utility. Product listings describe functionality as accurately as possible, but code is inherently technical. Users are responsible for reviewing product descriptions and documentation before purchasing to confirm suitability.

Purchases grant a license to use the code under terms described on the License page, which forms part of these Terms by reference. The License page governs what users may and may not do with the code, including redistribution, resale, and modification rights.

4. Orders, Pricing & Payment

All prices are listed in U.S. dollars and are subject to change without notice. The price charged is the price displayed at the time checkout is completed. The company reserves the right to refuse or cancel any order, including in cases of suspected fraud, pricing errors, or unauthorized or illegal activity, with notification and refund if payment was already collected.

Payments are processed by third-party payment processors (for example, PayPal). The company does not collect or store full card numbers, bank account numbers, or payment account login credentials—that information is handled entirely by the payment processor under its own terms and privacy policy.

5. Digital Delivery

All products on this Site are digital goods delivered electronically. No physical product will be shipped.

Instant delivery: Upon successful payment confirmation, an automated email containing a secure download link is sent immediately to the email address provided at checkout. Users should double-check their email address before completing their purchase.
Access limits: Download links allow a limited number of download attempts (currently 5) and remain valid for 30 days from the purchase date to help prevent unauthorized file sharing.
User responsibility: Users are responsible for downloading and securely storing their own copy of any purchased files within the access window described above.

6. Refunds & Cancellations

Because products unlock instant access to source code, refunds are handled differently than for physical goods. The full refund process, eligible and non-eligible circumstances, and response timeframes are set out in the Refund and Returns Policy, which forms part of these Terms by reference.

In summary: if a file is corrupted, missing, or never delivered, users should contact support and receive a fix or refund. Because code access is granted instantly, refunds for reasons unrelated to technical delivery failure are reviewed case by case.

7. Acceptable Use

When using the Site, users agree not to:

Violate any applicable local, state, national, or international law or regulation;
Use purchased code outside the scope of the license granted on the License page, including unauthorized resale, redistribution, or sublicensing;
Attempt fraudulent purchases, file chargebacks without cause, or otherwise abuse payment systems;
Use automated means (bots, scrapers) to access the Site in a manner that sends more request messages than a human could reasonably produce, or to attempt unauthorized access to any part of the Site;
Interfere with, disrupt, or attempt to compromise the security or integrity of the Site or any connected systems;
Use the Site or purchased code to build products or services that are illegal, fraudulent, or that facilitate the above.

Violating this section may result in suspension or termination of access to the Site and, where applicable, legal action.

8. Intellectual Property

All scripts, source code, documentation, trademarks, logos, and site content available on this Site remain the property of Nexus Agent LLC or its licensors, unless explicitly stated otherwise. Purchases grant only the specific rights described in the License page—they do not transfer ownership of any code and do not grant any right to use the company's name, logo, or branding without prior written consent.

9. User Feedback & Reviews

If users submit a product review, comment, or other feedback, they grant the company a non-exclusive, royalty-free, worldwide license to use, reproduce, and display that content in connection with operating and promoting the Site. Users are solely responsible for submitted content and agree it will not be defamatory, unlawful, or infringe on any third party's rights. The company may remove any submitted content at its discretion.

10. Third-Party Services & Links

The Site may link to, or rely on, third-party services (for example, payment processors or hosting providers). The company does not control and is not responsible for the content, policies, or practices of any third-party service or website. Use of any third-party service is subject to that party's own terms and privacy policy.

11. Privacy

The company collects only the information needed to process orders and operate the Site and never stores full payment details. Full details on data collection, usage, and user rights are set out in the Privacy Policy, which forms part of these Terms by reference.

12. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. The company does not warrant that any script will be error-free, uninterrupted, secure, or compatible with every environment, and does not warrant that the Site will be available at all times.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXUS AGENT LLC AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, or any loss of profits, revenue, data, or business opportunity, arising out of or related to use of the Site or any purchased product, even if advised of the possibility of such damages. The company's total liability for any claim is limited to the amount actually paid for the specific product giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some limitations may not apply to all users.

14. Indemnification

Users agree to indemnify and hold harmless Nexus Agent LLC, its owners, employees, and contractors from any claim, demand, loss, or damages, including reasonable attorneys' fees, arising out of breach of these Terms, use of the Site, or violation of any law or the rights of a third party.

15. Termination

The company may suspend or terminate access to the Site at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, the company, or third parties. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification) will survive.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law principles. Users agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and they consent to personal jurisdiction in those courts.

17. Force Majeure

The company will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disaster, war, terrorism, riot, labor disputes, internet or hosting outages, or governmental action.

18. Severability & Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect. The company's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

19. Entire Agreement

These Terms, together with the License page, Privacy Policy, and Refund and Returns Policy, constitute the entire agreement between users and Nexus Agent LLC regarding the Site and supersede any prior agreements between the parties on this subject.

20. Changes to These Terms

The company may update these Terms from time to time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms. Material changes will be reflected by an updated "Last updated" date at the top of this page.
